Terms and Conditions for POMS

SECTION 1: Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Purple OMS ("POMS," "we," "us," or "our") governing your access to and use of the Purple OMS platform, including all associated modules, APIs, integrations, and services.

By creating an account, accessing any POMS module, or clicking "Agree," you confirm that you have read, understood, and agree to be bound by these Terms. We reserve the right to modify these Terms at any time, and continued use of the platform after changes constitutes your acceptance of the revised Terms.

SECTION 2: Platform Description

Purple OMS is an all-in-one operations management platform designed for organizations. The platform comprises 40+ integrated modules across the following core categories:

• Human Resources Management (HRM) — employee records, attendance, payroll, recruitment, and performance
• Finance — invoicing, expense tracking, budgeting, tax management, and financial reporting
• Project Management — task boards, Gantt charts, sprint management, and time tracking
• Collaboration — ChatView, NoteView, Live Connect (video conferencing), and document management
• CRM & Sales — lead management, pipeline tracking, customer portal, and email campaigns
• IT & Administration — user management, audit logs, API access, security settings, and system configuration

POMS is provided on a software-as-a-service (SaaS) basis. Features may be updated, added, or removed at our discretion with reasonable notice to active users.

SECTION 3: Eligibility

To use Purple OMS, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal authority to enter into a binding agreement on behalf of yourself or your organisation
• Not be prohibited from using the platform under applicable laws
• Provide accurate, complete, and current registration information

Organisations using POMS under a team or enterprise subscription represent that the individual accepting these Terms has authority to bind the organisation.

SECTION 4: Account Registration & Security

You must register for an account to access POMS. When registering, you agree to:

• Provide accurate and truthful information during sign-up
• Keep your login credentials confidential and not share them with unauthorised parties
• Notify us immediately at security@poms.com if you suspect unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

POMS offers role-based access control (RBAC). Administrators are responsible for managing permissions assigned to team members within their organisation workspace.

SECTION 5: Subscription & Billing

Access to POMS modules may be subject to subscription plans. By subscribing, you agree to:

• Pay all applicable fees as described in your selected plan at the time of purchase
• Provide valid payment information and authorise recurring charges where applicable
• Understand that fees are non-refundable unless otherwise stated in our Refund Policy

We reserve the right to change pricing with at least 30 days' prior notice. Continued use after a price change takes effect constitutes acceptance of the new pricing. Unpaid accounts may be suspended or downgraded after reasonable notice.

During the Beta period, POMS is available at no charge. Beta access does not guarantee pricing or features in the general availability release.

SECTION 6: Acceptable Use Policy

You agree to use POMS only for lawful business purposes. You must not:

• Use the platform to store, transmit, or process illegal, harmful, or malicious content
• Attempt to reverse engineer, decompile, or tamper with any part of the platform
• Use automated scripts, bots, or crawlers to access the platform without written consent
• Interfere with or disrupt the platform's infrastructure, servers, or networks
• Share your account credentials or allow concurrent sessions beyond your plan's user limit
• Use POMS to build a competing product or service without our prior written permission
• Upload viruses, malware, or any code intended to damage or intercept data

Violation of this policy may result in immediate suspension or termination of your account without refund.

SECTION 7: Data & Privacy

Your use of POMS is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection, processing, and storage of your data as described therein.

• You retain ownership of all data you input into POMS ("Your Data")
• We process Your Data only to provide and improve the platform services
• We implement industry-standard security measures including encryption, access controls, and audit logging
• We do not sell Your Data to third parties
• Upon account termination, you may request an export of Your Data within 30 days

You are solely responsible for ensuring that any personal data you upload complies with applicable data protection laws (e.g., PDPB in India, GDPR for EU users).

SECTION 8: Intellectual Property

All rights, title, and interest in and to the POMS platform — including its software, design, branding, documentation, module names (ChatView, NoteView, TaskView, Live Connect, etc.), and APIs — are and remain the exclusive property of Purple OMS.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business operations during the term of your subscription.

You must not reproduce, duplicate, copy, sell, or exploit any part of the platform without our express written permission. Feedback or suggestions you provide may be used by us without any obligation to you.

SECTION 9: Limitation of Liability

To the maximum extent permitted by applicable law:

• POMS is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the platform will be error-free, uninterrupted, or meet your specific requirements
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform
• Our total aggregate liability shall not exceed the amount paid by you (if any) in the three months preceding the claim

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by law.

SECTION 10: Termination

Either party may terminate the use of POMS at any time:

• You may cancel your account at any time through your account settings
• We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that harms the platform or other users
• Upon termination, your right to access the platform ceases immediately
• Provisions that by their nature should survive termination (including IP, limitation of liability, and governing law) shall remain in effect

SECTION 11: Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the use of POMS shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996, with proceedings conducted in English in New Delhi, India.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court.
